For the purposes of these Terms and Conditions, the following definitions shall apply:

“Platform” refers to the dynares software-as-a-service (SaaS) platform offered via secure login to registered users, enabling automation of paid search campaigns, found at https://dynares.app.
“Service” refers collectively to both the Website and the Platform, unless otherwise clearly indicated.
“User”, “Client”, or “Customer” refers to any individual or entity that registers, subscribes to, accesses, or uses any part of the Service.
“Content” means all text, images, data, form inputs, uploaded files, or materials submitted to or generated by the Service, including AI-generated assets such as landing pages, ad copy, and templates.
“Subscription” refers to the free or paid plan granting access to the dynares Platform, based on the usage limits, features, and billing cycle selected by the Customer.
“Agreement” refers to these Terms and Conditions, together with our Privacy Policy and any additional agreements referenced or signed by the Customer.
“Trial Period” means fourteen (14) consecutive days starting when the Customer activates the Free Trial.
“Free Trial” / “Trial” means a limited-time promotional access to a paid Subscription plan at no charge.
“Trial Subscription” means the paid Subscription plan selected by the Customer for the Free Trial.

2. Acceptance of Terms

By accessing the website, registering for or using the dynares platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, our Privacy Policy, and any other applicable legal notices issued by DYNAMIC RESOURCES SRL. If you do not agree with these terms, you must not use the website, platform or services.

These Terms and Conditions constitute a legally binding agreement between the User and DYNAMIC RESOURCES SRL.

3. Website Usage and Acceptable Behavior

You may access and browse the Website without registering for an account. By using the Website, you agree to do so only for lawful purposes and in accordance with these Terms. You must not engage in any behavior that could impair, disrupt, or otherwise interfere with the proper functioning, security, or accessibility of the Website. In particular, you agree not to:

Attempt to gain unauthorized access to any part of the Website, its servers, or connected systems;

7. Description of Services

dynares is a software-as-a-service (SaaS) platform developed and operated by DYNAMIC RESOURCES SRL that automates core components of paid search advertising campaigns. The platform enables users to:

Generate AI-powered, keyword-specific landing pages tailored to campaign goals and brand guidelines.
Create contextual ad copy aligned with search intent and landing page content.
Launch and manage Google Ads campaigns through guided workflows.
Host landing pages on secure subdomains without the need for third-party infrastructure.
Track basic campaign performance metrics and receive insights to support optimization.

dynares does not provide:

SEO services or organic traffic tools.
Full CRM or sales management functionality.
Social media or display advertising campaign management.
Guarantees regarding legal or regulatory compliance of user-generated or AI-generated content.

The platform is provided as-is, and functionality may evolve over time as new modules are released or modified.

8. Eligibility and Account Registration

To use the dynares platform, you must:

Be at least 18 years of age and legally capable of entering into binding contracts.
Register for an account using accurate, complete, and up-to-date information.
Agree to these Terms and Conditions and our Privacy Policy.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We reserve the right to suspend or terminate your access if we suspect any unauthorized use, breach of these Terms, or misuse of the platform.

9. Subscription Plans, Pricing, and Billing

dynares offers multiple subscription tiers, including a free plan and various paid plans tailored to different business needs.

9.1 Free and Paid Tiers

You may access a limited version of the platform for free. Paid plans provide additional functionality and higher usage thresholds. By selecting a paid plan, you agree to pay the applicable subscription fees in accordance with the selected billing cycle (monthly or annually).

9.1.1 Free Trials

We may offer eligible Customers the option to activate a Free Trial of certain paid Subscription plans for a Trial Period.

(a) Card required to start. To activate a Free Trial, you must provide valid payment details and authorize us to store your payment method and charge it as described below.
(b) Automatic conversion and billing unless cancelled. Unless you cancel before the end of the Trial Period, your Free Trial will automatically convert into a paid Subscription.
(c) Cancelling the trial. You may cancel at any time during the Trial Period through your account settings. If you cancel before the Trial Period ends, you will not be charged.
(d) Trial limits and restrictions. During a Free Trial, features and usage limits may match the selected paid plan (or may be limited). Abuse or repeated trials may result in trial withdrawal or account restriction.
(e) Changes and withdrawal. We may modify, suspend, or withdraw Free Trial offers at any time.

9.2 Billing and Payment Terms

All prices are stated exclusive of applicable VAT or other taxes unless explicitly mentioned otherwise.
Payments are processed through authorized third-party providers or by direct wire transfer.
You authorize DYNAMIC RESOURCES SRL or its billing partners to charge your selected payment method at the beginning of each billing cycle.
Subscription fees are non-refundable except as required by law or explicitly stated in a separate agreement.

9.3 Pageview Overages, Limits, and Upgrades

If you exceed the usage limits of your Subscription plan (including Included Pageviews), we may apply overage charges, restrict functionality, or require an upgrade.

9.3.1 Measurement and Calculation

Pageviews are measured by our systems and recorded against the Customer's account. Overage Pageviews are calculated monthly as: max(0, Actual Pageviews − Included Pageviews).

9.3.2 Overage Rates (EUR per additional Pageview)

Free: no overages billed; usage may be blocked or restricted once limits are reached.
Starter: €0.012 per additional Pageview
Pro: €0.008 per additional Pageview
Business: €0.004 per additional Pageview

9.3.3 Billing of Overages

Overage charges are accrued during the month and are typically charged in arrears. Overage amounts are calculated as: Overage Pageviews × Overage Rate.

9.3.4 Usage Restrictions

We may restrict features, pause landing page serving, or otherwise limit Service functionality if you exceed plan limits, fail to upgrade when prompted, or fail to pay applicable overage charges.

9.3.5 Disputes

If you believe an overage charge is incorrect, you must notify us within thirty (30) days of the charge or invoice date. If you do not dispute within this period, the charge will be deemed accepted.

9.3.6 Changes

We may update plan limits and/or overage rates from time to time. If changes are material, we will provide notice via the Platform and/or email.

9.4 Failed Payments and Account Suspension

Failure to process a payment may result in suspension or termination of your access to the platform. It is your responsibility to ensure that payment information is accurate and up-to-date.

9.5 Currency

All transactions are processed in EUR unless otherwise specified on the platform.

10. User Responsibilities and Acceptable Use

As a user of the dynares platform, you agree to:

Use the platform only for lawful purposes and in accordance with these Terms.
Provide accurate input (e.g. keywords, brand settings, form fields) and ensure you have the right to use any content uploaded to or generated by the platform.
Review AI-generated content for accuracy, compliance, and suitability before publishing or launching campaigns.
Maintain the confidentiality of your account credentials and notify us immediately of any unauthorized use.

Prohibited Actions

You agree not to:

Use the platform to generate or distribute content that is unlawful, misleading, harmful, defamatory, discriminatory, or infringes intellectual property rights.
Attempt to reverse-engineer, decompile, or otherwise interfere with the platform's source code or underlying architecture.
Exploit or attempt to bypass platform limitations (e.g. usage quotas, subscription tiers).
Use the platform in a manner that could damage, disable, or impair its operation or interfere with other users.
Scrape, harvest, or mine platform data without explicit written consent.

AI Usage Disclaimer

While dynares leverages AI to assist in content generation, the final responsibility for ensuring the legality, compliance, and brand appropriateness of all output lies with the user. dynares does not review or verify each piece of generated content before it is published or used.

Violation of this section may result in immediate suspension or termination of access without refund, and may lead to legal action where applicable.

10.1 Website Scraping and Authority Declaration

As part of the onboarding process, you may be asked to submit your business website or domain name. By providing this domain, you expressly authorize dynares to access and extract publicly available content from your website for the purpose of preparing branded assets, onboarding materials, and personalized configurations.

You confirm that you are duly authorized to grant such access and that this action does not violate the terms of use, copyright provisions, or any other policies associated with the website you submit.

11. Intellectual Property Rights

11.1 Ownership of the Platform

The dynares platform and all associated software, infrastructure, design elements, trademarks, logos, documentation, and content (excluding user-provided content and AI-generated outputs) are the intellectual property of DYNAMIC RESOURCES SRL or its licensors. All rights are reserved.

You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the platform in accordance with your subscription tier and these Terms.

11.2 Ownership of User Content

Any content you upload to the platform (e.g., brand settings, keywords, logos, custom templates) remains your intellectual property. You grant dynares a worldwide, non-exclusive, royalty-free license to process and display this content solely for the purpose of providing the services.

11.3 Ownership of AI-Generated Output

Unless otherwise restricted by the terms of the AI model provider (e.g., OpenAI), you retain rights to the content generated for your account (e.g., landing pages, ad copy). However, dynares reserves the right to use anonymized and aggregated outputs to improve its models, templates, and performance over time.

11.4 Feedback and Suggestions

If you provide any feedback, suggestions, or ideas related to dynares, you acknowledge that we may use them without restriction or obligation to compensate you.

12. Data Protection and Privacy

12.1 GDPR Compliance

dynares processes personal data in accordance with the General Data Protection Regulation (EU) 2016/679 (GDPR) and other applicable data protection laws.

12.2 Data Collection and Use

We collect and process limited personal data necessary to provide and improve the services, including:

Account and billing information (name, email, payment details)
Usage metrics and performance logs
Content generated or uploaded through the platform
Cookie and tracking data for analytics and support

12.3 Automated Business Data Enrichment

To streamline onboarding and improve the user experience, dynares may use third-party business intelligence sources to enrich your organization's profile based on the domain or company name you submit. This data is used solely for enhancing your experience within the platform, and is never sold or used for unrelated marketing.

12.4 Data Subject Rights

dynares provides mechanisms to:

Access, rectify, or delete your personal data
Export account data
Withdraw consent for data processing
Set retention preferences in compliance with applicable laws

12.5 Security Measures

We implement industry-standard security protocols, including:

Data encryption in transit (TLS 1.2+) and at rest (AES-256)

However, no system can guarantee absolute security, and you are responsible for protecting access to your account and data.

12.6 Data Hosting and Transfers

All user data is hosted on secure servers within the European Union, unless otherwise stated. By using the platform, you consent to the processing and storage of your data as described.

13. Service Availability and Support

13.1 Uptime Commitment

dynares aims to maintain at least 99.9% uptime per month for core platform functionality, excluding scheduled maintenance or events beyond our control.

13.2 Maintenance and Updates

We may perform routine maintenance or deploy feature updates with or without notice. Scheduled maintenance that may affect availability will be communicated in advance when possible.

13.3 Support Channels

Support is available via email at [email protected] or through the in-app support widget (for paid plans). Response times may vary based on subscription tier and support hours (business days, CET timezone).

13.4 Bug Reporting and Feature Requests

Users are encouraged to report bugs or suggest improvements. Submission of feedback does not create an obligation for dynares to implement or prioritize any feature or fix.

13.5 SLA Limitations

While we strive to provide reliable service, occasional downtime may occur. dynares is not liable for any damages, losses, or business interruptions resulting from service unavailability, unless expressly covered in a separate Service Level Agreement (SLA).

14. Limitation of Liability

To the fullest extent permitted by applicable law:

14.1 Platform Use at Own Risk

Use of the dynares platform is at your sole risk. All services are provided “as is” and “as available,” without warranties of any kind — express or implied — including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

14.2 No Guarantee of Results

dynares does not guarantee any specific outcome from the use of the platform, including but not limited to improvements in ad performance, lower CPCs, higher conversion rates, or ROI gains.

14.3 AI-Generated Content

You acknowledge that the platform uses AI technologies which may produce incorrect, outdated, or non-compliant content. Final review and approval of all output is your responsibility. dynares disclaims all liability for any consequences resulting from the use or publication of such content.

14.4 Indirect Damages

Under no circumstances shall dynares or DYNAMIC RESOURCES SRL be liable for any indirect, incidental, consequential, special, or exemplary damages, including but not limited to: loss of profits, data, business interruption, or reputational harm — even if advised of the possibility of such damages.

14.5 Liability Cap

In any case, the total liability of dynares and DYNAMIC RESOURCES SRL for any claim arising out of or related to these Terms or your use of the platform shall not exceed the total amount paid by you in the three (3) months preceding the event giving rise to the claim.

15. Termination

15.1 By the User

You may terminate your account at any time by canceling your subscription through the dynares platform or by contacting support. Upon termination:

Your access to the platform will be downgraded or revoked at the end of the current billing cycle.
No refunds will be issued for unused time unless required by law or a separate agreement.
We may retain anonymized or aggregated data for analytical and operational purposes.

15.2 By dynares

We reserve the right to suspend or terminate your access to the platform, with or without notice, if:

You breach these Terms and Conditions.
You engage in abusive, fraudulent, or unlawful behavior.
Required payments fail and remain unresolved after reasonable notice.
Continued use poses a security or compliance risk to the platform or other users.

15.3 Effect of Termination

Upon termination of your account for any reason:

Your license to use the platform ends immediately.
Any remaining data may be permanently deleted after a grace period, unless otherwise required by law.
Sections of these Terms that, by their nature, should survive termination will remain in effect.

16. Indemnification

You agree to indemnify, defend, and hold harmless DYNAMIC RESOURCES SRL, its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses arising from or related to:

Your access to or use of the dynares platform.
Any content created, published, or shared using the platform.
Your violation of these Terms and Conditions or applicable law.
Any infringement or misappropriation of intellectual property or privacy rights by you or your authorized users.
Misuse of the platform in a way that causes harm to third parties.

17. Modifications to the Platform or Terms

17.1 Platform Changes

dynares is an evolving platform. We may modify, update, enhance, suspend, or discontinue features or functionalities at any time — with or without prior notice.

17.2 Changes to Terms

We reserve the right to update these Terms and Conditions at any time. If material changes are made, we will notify users by email or through the platform interface. Your continued use of the platform after such updates constitutes acceptance of the revised terms.

18. Governing Law and Dispute Resolution

18.1 Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions.

18.2 Jurisdiction

Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the competent courts of Bucharest, Sector 1, Romania.

18.3 Good Faith Resolution

Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute through good faith negotiations. If no resolution is reached within thirty (30) days, either party may initiate legal action.

18.4 Language

These Terms and all related documents shall be interpreted in English. Translations provided (if any) are for convenience only and have no legal effect.

19. General Provisions

19.1 Entire Agreement

These Terms and Conditions, along with the Privacy Policy and any applicable subscription or service agreements, constitute the entire agreement between you and DYNAMIC RESOURCES SRL regarding your use of the dynares platform.

19.2 Severability

If any provision of these Terms is held to be invalid or unenforceable under applicable law, the remaining provisions shall remain in full force and effect.

19.3 Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.

19.4 Assignment

You may not assign or transfer your rights or obligations under this Agreement without prior written consent from dynares. We may assign this Agreement in connection with a merger, acquisition, or sale of assets.

19.5 Force Majeure

dynares shall not be held liable for any failure or delay in performance due to events beyond its reasonable control, including but not limited to natural disasters, power outages, third-party service disruptions, internet failures, strikes, or government actions.

19.6 Export Controls

You represent that you are not located in, and will not use the Service from, any country or territory subject to international sanctions or embargoes.
